1. Introduction

These Terms of Use (“Terms”) govern your access to and use of the Seedli platform (“Service”), operated by [LEGAL ENTITY NAME], [CVR NUMBER], registered in Denmark (“Seedli”, “we”, “us”, “our”).

By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

Seedli is a decision intelligence platform that analyzes how brands and providers are positioned across AI platforms (such as ChatGPT, Gemini, Claude, and Perplexity). The Service generates market intelligence by querying AI models with industry-relevant prompts and extracting structured insights about competitive positioning, buyer decision criteria, risk factors, and trust signals.

The Service is provided “as is” and the intelligence generated reflects patterns in AI model outputs at the time of analysis. AI model outputs may change over time and vary across providers.

3. Account registration

To use the Service, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old to use the Service.

4. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any purpose that violates applicable law or regulation
• Attempt to access other users’ data, accounts, or projects
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
• Use the Service to generate misleading, defamatory, or harmful content about competitors or third parties
• Resell, redistribute, or sublicense access to the Service or its outputs without prior written consent
• Use automated tools (bots, scrapers) to access the Service beyond its intended interfaces

The intelligence generated by the Service is derived from third-party AI model outputs. Seedli does not control what AI models produce and does not guarantee the accuracy, completeness, or reliability of AI-generated content.

Specifically:

• AI model outputs may contain inaccuracies, biases, or outdated information
• Brand positioning and competitive analysis reflect AI model behavior at the time of querying and may change without notice
• Generated intelligence should be used as one input among many in business decision-making, not as the sole basis for strategic decisions
• We do not verify the factual accuracy of individual AI model claims about specific companies

8. Data protection

We process personal data in accordance with our Privacy Notice and applicable data protection law, including the GDPR. Our Privacy Notice describes what data we collect, how we use it, and your rights as a data subject.

For customers who require a Data Processing Agreement (DPA), one is available upon request or can be found at seedli.ai/legal/dpa.

9. Service availability and modifications

We aim to provide reliable access to the Service but do not guarantee uninterrupted availability. We may:

• Perform scheduled maintenance with reasonable advance notice
• Modify features and functionality of the Service
• Discontinue the Service with 90 days’ written notice

10. Limitation of liability

To the maximum extent permitted by applicable law:

• Our total liability for any claim arising from or related to these Terms or the Service is limited to the amount you paid for the Service in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for decisions made based on Generated Intelligence
• We are not liable for the accuracy or content of third-party AI model outputs

11. Termination

You may terminate your account at any time by contacting us or using the account deletion function in the Service. Upon termination:

• Your access to the Service will be revoked
• Your Customer Data and Generated Intelligence will be deleted within 30 days
• Provisions that by their nature should survive termination (including limitations of liability and intellectual property) will survive

We may terminate or suspend your account if you violate these Terms, with notice where practicable.

12. Governing law and disputes

These Terms are governed by the laws of Denmark. Any disputes arising from these Terms or the Service that cannot be resolved amicably shall be submitted to the courts of [JURISDICTION — typically Copenhagen].

13. Changes to these Terms

We may update these Terms to reflect changes in the Service or legal requirements. We will notify you of material changes at least 30 days in advance via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
